                        Pls can anyone provide me draft Resolution to appoint auditor in 1st AGM with explanatory statement.

I think, this item wud b ordinary item it does not require any explanatory statement.

Dear Pooja,
 
There is no need of explanatory statement as this is a Ordinary Resolution. Further, the format of the resolution for appointment of First Auditors is as follows:
 
“RESOLVED THAT the consent of the Board of Directors be and are hereby given to the appointment of M/s ---------., Chartered Accountants, --------- as First Auditors of the company to hold office from the date of incorporation to the conclusion of the First Annual General Meeting of the company at a remuneration mutually decided by the Auditors and Chairman.

 

RESOLVED FURTHER THAT Mr. ---------  Director of the Company be and is hereby directed to give intimation of this appointment to the Auditors so appointed within seven days of the date of the resolution.”

       But Dear Tripti, as we are gonig to appoint first auditor in AGM. so for the same appointment pls provide the resolution and not for appointment of auditor in Board Meeting, as auditor was not appointed by the Board in the first Board Meeting.
