Does any have board resolution for satisfaction of charge.

For satisfaction of charge, board resolution is not required. Mere satisfaction letter / charge release letter provided by bank is enough. You may take the noting of satisfaction in the minutes if required.

You can suitably draft the resolution as given below:

RESOLVED THAT Board hereby take the note of charge release letter dated______received from _______Bank.

RESOLVED FURTHER THAT any Director of the Company be and is hereby authorised to do all such acts, deeds and things including filing of charge satisfaction form to the Registrar of Companies, Pune to give effect to the satisfaction of charge.
