FCGPR Objection Memo - Revised CS Certificate Format

Dear Professionals,

Please find below the FCGPR objection memo received from RBI Regional office.

"Please refer the captioned subject. In this regard, you are advised to furnish the followings:-

1. The CS certificate is in compliance with Para 9(1)(B) of FEMA 20/2000 whereas the shares are issued under Notification No. FEMA 20(R)/ 2017-RB dated November 07, 2017. The company is advised to submit revised CS certificate in terms of FEMA 20(R).
2. Certificate of Incorporation not submitted
3. Main business activity of the company is not indicated in Form FCGPR. The company is advised to submit a certificate stating that the main business activity, corresponding NIC code, and whether the company is eligible to receive 100 percent FDI under automatic route"

Kindly clarify me on 1st and 3rd Point.

Please provide me the new CS certificate format as per . FEMA 20(R)/ 2017-RB dated November 07, 2017. 

And also advise me who have to provide the certificate with respect to 3rd point regarding Main business activity and NIC code. (Whether CS or the client)

You are required to attach the fresh CS certificate in compliance with regulation, Might be your CS certificate format was old one

second Please mention the NIC code in CS certificate and declaration that company is entitled to receive FDI in automatic route.
