Dear Richa,

Kindly check  Articles of the company, whether it mentions any director as chairman. If no such provision is their in the Articles, then pass the following resolution at Board Meeting:

APPOINTMENT OF CHAIRMAN:

"RESOLVED THAT Mr. ___________ , Director of the Company be and is hereby appointed as Chairman for all the meeting of Board of Directors and shall preside as Chairman at every general meeting of the Company."

There is no as such provision in the companies act for appointing chairman for the company. generally high shareholding promoter will become the chairman and i think what resolution Mr. Chakri hegde has given can used with required changes.
