Requirement of filing MGT14 for regularization of Addl. Director

whether MGT -14 is required to file for regularization of Additional director in AGM, apart from DIR-12

Please advise.

For other resolution of AGM do we have to file MGT 14?

as per my point of view, MGT 14 has to be filled by the company within 30 days of first Board Meeting held after AGM to disclose interest U/s 184 of Companies Act, 2013.

Giving few more details apart from what you have asked.

The specific case pertaining to regularisation is subject to Companies Act as well as Articles of Assciation.

As per companies act - only ordinary resolution is required.
But AOA may require the Company to pass a Special Resolution for this. Check Articles. (Stricter provision will prevail and i am unaware as to what is written in Articles of Association of your Company)

therefore, if it is an ordinary resolution - MGT 14 not required, if it is a special resolution - MGT 14 required.

Another point worth considering is :- If the same director is also appointed under Section 203 as KMP, then  MGT 14 would be required to be filed for the said appointment.

for example : 1) Mr. A appointed as Director
2) Mr. A also appointed as MD under Sec 203 - for this Resolution No. 2) you need to file MGT 14.
