Form FC-1

[POOJA]

Dear All Experts,
I have filed form FC-1 for Registration of Liaison office in India on 22.08.2014, and today i got the message from ROC waiting for user clarification. According to me i have filed all these required documents with Form FC-1 i.e. Copy of charter translated in English, and List of Directors, RBI Approval and POA of authorised representative of India.But now ROC has raised this objection. kindly guide me.
SUBMIT COPY OF CHARTER IN PRINCIPAL AND TRANSLATED LANGUAGE IN ENGLISH, LIST OF DIRECTORS , POA DULY NOTARISED AND CONSULARISED FROM GERMANY ALSO SUBMIT DECLARATION U/S 380(1)(g) OF THE ACT Form 67 (Addendum) should be filed by 10/09/2014 failing which the eForm shall be treated as invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956)

though i hav not done this work but from reply of ROC it seems they r asking for Charter in german language along with translated english language and as u listed out what u hav attached i believe 380(1)(g) of CA, 2013 declaration is also missing from ur part.. other views solicited..

Dear Pooja,

Copy of Charter in principal and translated copy in english along with List of Directors , POA  are required to be attached with FC-1 and these documents should be consularised and notarised in Home Country i.e. from Germany and

further kindly read section 380 (1) (g) of Companies Act 2013 where its written that Declaration is required from Foreign Company that:- "none of the directors of the company or the authorized representative in India has ever been convicted or debarred from formation of companies and management in India or abroad".

This declaration should be signed by AR of the Company under the seal and on the letter head of foreign company.

Format of declaration is given below:

 

(On the letter head of Company)

DECLARATION U/S 380(1) (g) OF THE COMPANIES ACT, 2013

 

I, ……………….S/o………………….., R/o…………………, Authorized Representative of (name of the Company) in India, in accordance with Section 380 (1) (g) of the Companies Act, 2013  do hereby declare that:-

 

1.  None of the directors of the company has ever been convicted or debarred from formation of companies and management in India or abroad.

 

2.  I, the authorized representative of the Company in India has never been convicted or debarred from formation of companies and management in India or abroad.

after that download form 67 fill it and attaached all the required documents and file this addendum form before 10/09/2014 otherwise your FC-1 would be cancel and fee will be forfieted by ROC.

Charter in principal means their Article of Association or Memorandum or charter of foreign Company.
