regarding DIR 12

Hello,

Company has not filed Form INC 20A and time limit of 180 days has already been passed

but now the company wants to file :-

form DIR 12 for one of the directors of the company. Can we file form dir 12 for the resignation of director if inc 20a is still pending?

Also the company wants to transfer the shares of that director who is resigning as he is also a shareholder of the company. So is it possible to transfer the shares before filing form INC 20A?

No.
It could be filed without filing INC-20A within 180 days, not now.
