Normalising of a Dormant Company - (Change of Status from Dormant to Active)

Dear Professionals,

Can anyone please provide me the procedure for normalising a dormant company.

In my case the Company has not filed accounts since 2009 and wanting to file the same and complete the pending annual filings till date.

However the company is dormant and view signatory details on MCA is also showing the following error - The Company has made default in filing DIN 3 / DIR 12.

I want to change the status of the Company from dormant to active and complete the filing formalities, what should I do????

Hi,

File GNL -1 - attaching resolution and application 

after approval of GNL 1 you will have 1 month to active or do all filing.

File DIR 3C - attaching DIN -2 dated today and appointment dated old date.

Plz do care of last date of CLSS 2014 15.10.14.

This information has been advised to me by another CS friend, not done practically by me.

In my view we have to file MSC-4. (Application for seeking status of active company ),Please read Section 455 of companies act 2013 and rules corresponding to it.

Once I spoke with ROC Bangalore they said follow the procedure given in companies act.

Hi Friends

I am also handling the same case. But there is some technical issues. When we are uploading DIR 3C, its notifying the error " DIN is not associated with CIN"  for the Director who is signing the form.

And we cannot register the DSC till signatory details are updated, which could be possible by DIR 3C only.

If anybody handled the alike case, please share views, if could be done in anyway.

Go through eform MSC-4, then the DIN will be activated and status of company will be active,
Read section 455 of companies act 2013 & rules there of.

Dear sir

Solution has been given by MCA and we need to manually get the same activated with ROC for filings.

Context as follows:

" Companies which do not have any of their Directors/Signatory details registered in the MCA21 system and who are desirous of filing DIR-3C Form are requested to get atleast one authorised signatory registered by contacting the concerned Registrar of Companies. Instructions have already been issued to ROCs and RDs in this regard. "
