Can auditor sign on the Balnace Sheet after sending notice of AGM?

Dear Experts,

In a view of resignation of auditor in Pvt. Ltd. Company, you are
requested to review the following schedule,

1.Date of calling Board Meeting for adoption of Balance Sheet,
Directors Report – 8/9/2015

2.Issue of the Notice of AGM – 8/9/2015

3.Conducting of EOGM for appointment of Auditor to fill the casual
vacancy caused due to resignation of the auditor – 9/9/2015

4.Auditor signature on the Balance Sheet – 9/9/2015

5.Conducting of AGM dated – 30/09/2015

My main concern is can auditor sign on the Balnace Sheet after sending
notice of AGM?

You are requested to guide on above.

Dear Samhita,

As per the provisions of the Act; the audited balance sheet, P & L Account and annexures thereto have necessarily be sent to the entitled persons along with the notice at least 21 clear days before the AGM. So, in your case; U cant send the balance sheet after sending the notice of AGM as if the Notice of AGM is sent on 08/09/2015 and another auditor appointed in EOGM on 09/09/2015 the clear days are only 20 not 21 days which is the primary requirement.

But; I think a co. can send the Notice and the Balance Sheet separately if the precondition of 21 Clear days is satisfied for both notice and balance sheet.

Correct me if I am wrong.

How can you hold the meeting for adoption of balance sheet when auditor not signing. you can appoint any other auditor before signing the balance sheet.

You have to appoint 8th day of sep. 2015.

Dear Samhita,

 

As per my understanding: If the auditor of your company (one who is giving resingation) has not filed form ADT-3 for his resingation as required to be complied with within 30 days, you can do the following;

 

1. As your accounts adoption date as mentioned by you is 08/09/2015 (means accounts for the year ended 31st March, 2015 have been audited by the auditor giving his resignation) you can adopt the accounts prepared and get them signed by them as they have prepared accounts after conditng their necessary audit as necessary.

 

2. Issue notice of AGM .

 

3. No need to conduct EOGM for appointment of new auditor in place of whom giving resignation.

 

4. Conduct AGM and pass a special resolution for the appointment of new auditor other than those retiring by providing special notice that the retiring auditor shall not be reappointed.

 

 

This being my personal opinion may differ from person to person. Other views solicited.
