Dear Professionals

I would like to share the blow regarding disclosures from directors:-
1. DIR-8 under Sec. 162(2) only on appointment of a director.
2. DIR-12, under Sec. 152(5) consent to act as a director only on appointment of a director.
3. Declaration under sec. 152 (4) only on appointment of a director.
4. MBP-1, under Sec. 184(1) every year from all directors in 1st BOD meeting in each F.Y.
5. Declaration under Sec. 149(7) every year only from Independent directors in 1st BOD meeting of the F.Y.
6. Acceptance of CODE of CONDUCT every year from all directors in 1st BOD meeting of the F.Y.

Hope it will definitely help you to under stand into the matter.

Dear Anjali, it not part of Companies Act, its compliance of listing Agreement, i stated it here for convenience to understand

49(II) (E)
Code of Conduct
1. The Board shall lay down a code of conduct for all Board members and senior management of the company. The code of conduct shall be posted on the website of the company.
2. All Board members and senior management personnel shall affirm compliance with the code on an annual basis. The Annual Report of the company shall contain a declaration to this effect signed by the CEO.
3. The Code of Conduct shall suitably incorporate the duties of Independent Directors as laid down in the Companies Act, 2013.
