Rectification of resolution

Dear Members,


If in the minutes a company has passed a resolution for a loan and the amount mentioned is wrong, how to rectify minutes assuming we can’t redraft? And what if Form 8 has been filed with the resolution containing the wrong amount?

Members, please suggest the way out.

i think you have to re file form 8 with board resolution with correct amount.

Any correction in previous resolution can be done by passing a fresh resolution for that effect in the same manner as the previous resolution was passed . and if form 8 has been filed it will be filed again indicating modification of charge.
