Company Board in English or Regional Language as per Section 12 of the CA, 2013

Dear Experts,

As there are many different conflicting view in this topic, can any member clarify exactly whether the Company Board is required in English or Regional Language as per Section 12 of the CA, 2013.

Local language is mandatory as per sec 12 oc CA 13 AND as per shop and establishment act of respective states. English is optional.

Dear Adarsh,

Thank you for reply but there are many experienced CS who interprets the section in such a way as that it is mandatory in English and only regional language is not valid. As per them, name etc. has to be in english.

Dear Alpeshji,

 

The requirement of law is that it will be in regional language only.

 

However, if the language is other than regional language, then in addition to that language (e.g. English), regional language is must (e.g. Gujarati).

 

Please refer Sec. 12(3)(a) of CA, 2013, produced below;

 

a) paint or affix its name, and the address of its registered office, and keep the same painted or affixed, on the outside of every office or place in which its business is carried on, in a conspicuous position, in legible letters, and if the characters employed therefor are not those of the language or of one of the languages in general use in that locality, also in the characters of that language or of one of those languages;

The provision of Section 12(3) does not use word "regional language". It is prescribing that the language should be in 'general use' in that locality or one of those languages. It is no where mentioned that regional language is mandatory. If English is a general used language in that locality then no need to also add regional language also of that locality. 

Accordingly, In delhi, only english language is sufficient compliance for Section 12(3), no need to add name of the company in hindi language as well.

Please check shops and Establishment Act also of respective state. In most of places, Board in regional language is mandatory.

Only English Language is not sufficient , Local Language is must be used.

English is not sufficient.

Language in general use means, a local language is required.  As not everyone can read it in English but they can read in local language.

For local language please refer provisions of shops and establishment Act.
