Dear All,

Do we have to also mention the Interest in Disclosure a Foreign Director Posses in the Foreign Companies???

foreign co's are to be included as  section 184(1) uses the word body corporate and as per sec 2(11) body corporate includes companies incorporated outside india also...

Yes. Body Corporate is covered under Section 184 (1).

Balaji we have  done  as per the indian companies act. and the foreign directors interest in the indian companies.

we have  JV company in which france citizen are directors. we took only the directors interest in the indian company.

Foreign Directorships should be included in declaration, as the section includes 'Body Corporate'.

The intention of the section is not having any undue advantage/influence due to presence of Director on the Board, while taking decisions. The provision includes Body corporate also to have transparency even in case of a transaction between Co and the foreign Company (body corporate) where director is common.

In my view also, the Foreign Directors must be included. The intention of the words used in Sec 184(1) like Every Director(Foreign Director) also and Body Corporate (Every type of Body Corporate) must be within the purview of the Disclosures Requirement. Hence MBP 1 must be given for Foreign Directors even.
