CFO and WTD in same company

Can same person be appointed as WTD and CFO of the same company??

hello bro.. no it can't be done. u can see Section 203 for this which provides for appointment of three category of KMP's

WTD and CFO are placed under different category, so both are required to be appointed.

please see the signatory details of Nestle India limited. I think if a Company having Managing director, then the same person can be appointed as WTD and CFO.

bhai everyone is interpretating Companies Act, 2013 in his own way as per his convenience.. u can chek RJ Corp Limited signatory wherein WTD and CFO are different.. its a good governed co..

and if AND is not used OR is also not used after 203(1)(i) instead ; are used and AND is used after 203(1)(ii) after CS..

thanks for the information. I want opinion of others too here. Since in my opinion a MD or WTD are vested with Substantial Powers, then how can same individual be appointed as CFO???

A whole-time Director can be a CFO. A Managing Director can also be CFO

Check Signatory details (MCA Site) and Annual Reports ( 2013 - 2014) of Wipro & Archidply ( Both are Listed Companies )

In my company two whole time director and one MD , amongst two WTM i had appointed CFO of the Company.

Like in the case of respected Mr. Shailendra Pathak comments, If there are two or three WTD in the company then one can appoint as MD and another can appoint as CFO.
