Form DIR-12 or MR-1?

Dear Members,

I have small query with regard to filing of form for appointment of MD & CEO for a listed Company.

Since DIR-12 has an option to appoint MD & CEO, when does the requirement of filing of Form MR 1 arises.

Further what if a Private Limited Company appoints MD or CEO, should it file both the Forms or one will be sufficient.

Please clarify..

whenever you appoint a KMP you have to file DIR.12 and MR.1 whether or not your company fall under section 203 or not. Just to share that in privat company you are not required to appoint whole-time KMP hence you may or may not designate him whole-time KMP as there is difference between KMP and whole-time KMP.

Dear Kushal,

Even though the Company is a private Limited Company, the Company has to file MR-1 under Sec 196 read with Rule No 3 of the Companies (Appointment and Remuneration of Manegerial personnel Rules), 2014.

The Section starts with no Company. Automatically this section is applicable for Pvt Limited also.

Form MR-1, DIR-12 and Form MG- 14 is required
