signature on share certificate

Members,

In case of issue of a share certificate, it should be singed by 2 directors and one authorised signatories


But if company has only 2 directors and does not want to authorise the another person to  sign.

The who else can sign as a authorised signatories in authorised signaories >

Dear Mr.Dilip,


In majority cases it's company secretary who signs the certificate along with 2 directors. if the company doesn't have any CS in it's company then the board can authorise any of it's company officer as a authorised signatory for the purpose of signing the share certificate.

Any one of the Director can also sign as a Authorised signatoriy..

It mean one director sign twice one as a director capacity and one as a authorised signatory

I do not agree. Authorised signatory should be a different person who can be a director other than persons signing as directors. No exception to that.

Yes, the authorised signatory should be a different person and can be an employee of the company...the employee needs to be authorised
by the Board

I have a different view in this case. If we look in issue of share certificate rules, it says that share certificates shall be issued under the common seal of the company which shall be affixed in the presence of 2 directors......
 
If a company' s AOA says that common seal shall be affixed in the presence of two directors, then share certificate need to be signed by only two directors and there is no requirement of a third person.
 
My logic is that the rules speaks about affixing common seal on the certificate and it speaks about signing the certificate. Signatories in the certificate are actually witnessing common seal to the certificate.
