Appointment of Director in AGM Directly

Dear friends,

Is it possible for a Public Limited to appoint a person as director directly in AGM as per the New Act.The director shall be eligible to retire by rotation.

Can the company avoid filing of two DIR-12?

yes, 

by complying with section 152, 160 and rule 13 of chapter 11, a public limited company can appoint a person as director in the AGM and then file DIR 12 for his appointment

and MGT14 for share holders resolution for appointment

he can be appointed for retire by rotation only if he is non independent director
