if MGT 14 required or not in conversion

a few are saying MGT -14 required,  but in procedure nowhere it is written about to file MGT 14,

secondly is EOGM is required for the conversion for shareholder approval and statement.

You can retain the same name as company after adding LLP at the end of name....Form 1 of the LLP need to be filed for the same and thereafter 2 more forms of LLP to be filed namely Form 2 and Form 18

Mr. Dinesh,

As per the provisions of CA, 2013 shareholders approval by way of resolution is not required. Hence no question of filing MGT-14.

It may be noted in case of conversion all the shareholders are required to give their written consent, which itself is approval of shareholders. You can take this stand and submit a clarification letter to RoC. In my view this should hold good with all the RoCs.
