Doubt regarding Strike Off of Companies

There is a Company that is incorporated in 2021. After incorporation the Promoters have not done anything in the Company, including the Share contribution by the subsribers to the MoA and no business transactions have happened.

Now the promoters want to Strike off the Company u/s 248(2). And they don't want to file any forms with the RoC like AOC 4 or MGT 7A. They want to directly apply for the strike off.

Is it possible to do so? Can the Company directly apply for strike off without filing any Balance sheets or other filings with the RoC for the past 4 years.

UNDER THE COMPANIES ACT, in my opinion, it is not possible to strike off a private limited company with arrears of filing and non-compliance. You have to update the filing and then only the closure process will commence. In case of LLP one annual return after incorporation would be enough to close the LLP

I think, it is possible as there is no business since incorporation and filing is mandatory only till the year of operations.

yes its possible A company in India can apply for voluntary strike off under Section 248(2) of the Companies Act, 2013.
  • It has failed to commence business within 1 year of incorporation, OR
  • It is not carrying on any business or operations for the last 2 financial years and has not applied for dormant status under Section 455

So according to me its possible to apply for strike off
