Regularization Form-32

Dear All,

Is it not mandatory to file Form-32 for regularization of a Director in the AGM if that Director is resigned subsequent to that AGM in a Board Meeting held on around end of October,2011 and the date of AGM was end of August or first week of September, 2011

Please share any circular of the Ministry, if any

Its mandatory. Every change in the Directorship has to be intimated to
the ROC,no matter what.

But Anjali why filing of Form-32 for the 2nd time for the same Director as already we have filed the same when we appointed him as additional director............there is no logic---------------please explain

File Form 32 for change in designation and choose Director option. His designation will get changed from Additional Director to Director.

I dont think its required............but even I heard from my side that most private companies are not filing as they are quoting that its not a noncompliance as we are intimating to ROC regarding the regularization in the Annual Return then why Form-32 for that...........Please share your views  ?

it is requiored to file

as per law we are using Section 257 route. As u all aware By Members
resolutio n we are appointing director as regular, here there is a
change indesignation

Logic apart....we simply need to fi;le the position for regularisation
and for subsequent resignation.
