FILING OF FORM 32 OR DIR 11 & 12 FOR CESSATION

Dear All

Can any one pls tell whether filing of form dir 11 and 12 is required in case of an additional director appointed in a pvt co in june 2013 who fails to get regularised in agm held in sep, 2013

whether we can regularise that additonal director thereafter i.e date of agm sep,2013 or we hav to first appoint him again as addiitonal director and then regularisation ?

what remedial action can be taken? pls guide urgently..

there is no choice we dont have form32 . so we have to file DR11  and DR12 needs to be filed. if you want remove .Reason is in any way the director is to intimate the ROC . so he needs to file DR11  and the company needs to file DR12 reason you need to remove his name from the MCA  .

if you regularise the additional director from back date you  will get penality. if you appoint him again then you need first close the old transaction and then file new forms. otherwise  you will technical error from mca

If you want to regularise him then you have to file dir 12

Dir 11 is in case of cessation so not required in this case.

Dont go for appointment again. Just regularise in this agm. Even i have done this for one of my client.
