Share transfer in WOS

Dear all,

I have a query regarding transfer of shares of a Pvt Ltd company.

ABC Pvt Ltd (Share Capital - 10000 shares) have 2 shareholders viz. Mr. A and XYZ Pvt Ltd, where Mr. A holds 1 shares and XYZ Pvt Ltd holds 9999 shares.

Now, in order to convert ABC Pvt Ltd into WOS of XYZ Pvt Ltd, it is proposed to transfer this 1 share held by Mr. A to XYZ Pvt Ltd, where Mr. A will become remain the registered holder, but the beneficial ownership will go to XYZ Pvt Ltd.

Now, in this case, is it required to create separate folio for Mr. A, where XYZ Pvt Ltd will be the beneficial owner?

Also, in form SH-4, who will be the transferee, Mr. A or Mr. A on behalf of XYZ Pvt Ltd?

Please advise.

Yes you will provide him new folio...mentioning name as   Mr. A nominee of xyz ltd, in transfer deed transferee will be xyz ltd...authorised person will be  Mr A

Hi,

Thanks for your response. Just one more doubt. In the memorandum of transfer, whose name will appear? Mr. A or Mr. A Nominee of XYZ Pvt Ltd?
