Query Related to Donation

Dear All,

The Company as passed the following Resolution related to Donation:-

My query is that Whether we need to File Form 23 with MCA as per Companies Act 2013?

RESOLVED THAT pursuant to the provisions of Section 181 of the Companies Act, 2013 and other applicable provisions, if any, of the Companies act 2013, (including any statutory modification or re-enactment thereof for the time being in force) and subject to the Articles of Association of the Company, the approval of the Board be and is hereby given to the company to contribute a sum of Rs. 5,00,000/- (Rs. Five Lacs Only) as donation to ABC Ltd

I think it may not be necessary to file form 23 as the Board can pass resolution.  However, the resolution needs to be elaborated, considering the new rule for donation under Corporate Social Responsibility.  The draft rules are made and final rules are expected.  Check up with a PCS.
