dear friends,
I had gone through form INC- 22
in my opinion to change existing private company registered office address with in local limits following attachment is sufficient

1. utility bill depicting the registered office address:- the existence of registered office is necessary same is valid if it is in the name of owner and not in company name.
2 proof of registered office address :- a copy of  board resolution will do. here again the  CTC board resolution should be on companies letter head (name of company, old office address , CIN no. of company, email id of company, telephone no. fax no
3. No objection certificate by owner for permitting address as companies registered office
4. copy of competent authority order is not required In such case.

 Note:- like in companies act 1956 a company can change its registered office address after taking approval from roc with in 15 days of board meeting as per new companies act 2013


PLEASE SUGGEST ME and guide me if anything is left.

Please find attached the procedure!

Point 2 as mentioned by you, is not proof of registered office, it is The authorization from the owner or authorized occupant of the premises along with proof of ownership or occupancy authorization, to use the premises by the company as its registered office.

My query is Company X has taken the premises on lease from SIPCOT.
Hence i am attaching the lease deed...for authorization from the
authorized occupant to use the premise as Regd office ,I am attaching
the Board resolution authorizing the shifting
Is this in compliance?

thanks a lot .  RIYANKA my query is as per new companies act 2013, we can change our company registered office and get same approved later by roc.

Dear Jayashree Ma'am,

In my view, we need to attach an authorization letter to be issued by the owner of the premises. The words are used as "The authorization from the owner or authorized occupant of the premises ", Board resolution will be passed by the Company only and here the intention seems to get a document from the owner not from the Company.

b. Proof of Registered Office address (Notarized copy of Conveyance/Lease deed/Rent Agreement along with the rent receipts) etc.; 

same should be a notarized copy of Conveyance/Lease deed/Rent Agreement along with the rent receipts) etc.  BETWEEN company and the owner of premises.

Hello ,

Please note that the RoC has nothing to do about 'permitting or not permitting the Board to take a decision on the shifting of registered office of a company . 

The office of RoC is only concerned about due intimation supported by essential documentary evidence of the location of the regd.office. So, due compliance by way of intimation sufficient under the law. 

Government departments and the Law are enablers of business activity and not ones that lay any kind of impediment in the path of smooth business .

Well clarified. Mere resolution or a certified copy would not substitute for the set procedure to be adopted in event of a change in location of the regd.office.

there is one query that in first option of attachment which conveyance deed/lease deed/ rent agreement is to be attached because as we have already opted in the form that "Owned by any other entity/Person (Not taken on lease by company)". therefore there is no lease deed or rent agreement and it is mandatory to attach.

Whether the attachment is required as per the instruction Kit 

 "List of all the companies (specifying their CIN) having the same registered office address, if any"

Urgent Query,

One of the client has want to shift RO within the city limit. 
There is no lease/Rental Agreement.
 so i am opting 4th optiom i.e, 
 "Owned by any other entity/Person (Not taken on lease by company)"
I am attaching BR, NOC from owner of the property and Electricity Bill is this sufficient compliance?
