Conversion of LLP into Private Limited

Dear Members

Is there any provision in the present LLP Act for conversion of LLP into a private limited?

Dear Vivek,

As per present LLP Act, there is no particular provision for conversion of LLP in to Company. I think you can convert it by the following procedure...

1. Apply DIN1 for all partners;

2. While filing Form 1A, in Main objects, the first object is to be taking over of so and so LLP firm then put all the objects;

3. After getting approval of Name availability, as usual you can convert the LLP into Private Limited Company as the same procedure as Conversion of Firm into Company.

Members are requested to correct me, if I am wrong.

I got the answer which is contrary to your answer as under:

A: This would not be allowed under LLP Act. However, enabling provisions would be required to be made in the Companies Act for such conversion.

Provisions for converting LLPs to Companies have been incorporated with the companies act 2013 in its chapter XXI. the draft rules for the same is attached. Once the provisions are notified conversion can be done.
