non-display of Excel annexure in MGT-7 PDF before filing

Dear Member

When Form MGT-7A was downloaded earlier (before filing ), the attachment section showed Excel files such as details of shareholders, board meetings, etc. However, at present, while opening and previewing Form MGT-7 before filing, no attachments are displayed in the PDF version of the form, except the pdf uploaded by me like the image of the registered office.

pic has been attached for reference.

I would like to confirm whether, at the time of filing, the non-display of the Excel annexure in the PDF version of Form MGT-7 will be treated as proper compliance under the Companies Act, 2013.

Kindly clarify the same so that we may proceed with filing accordingly.

 I mean after feeding all the required data in Form MGT-7 and before filing the form, when I used the Download PDF option available on the MCA portal to preview the form.

In this regard, I also contacted the MCA helpdesk, and I was informed that:

  • The Excel annexures are system-generated and backend attachments;
  • They do not appear in the PDF preview of Form MGT-7; and
  • Non-display of these Excel annexures in the PDF will not affect compliance, provided the data has been correctly entered in the form.

Accordingly, I understand that filing Form MGT-7 in such a manner will be treated as proper compliance under the Companies Act, 2013.

Kindly confirm the above understanding so that I may proceed with filing accordingly.

Yes, you can proceed. The step was taken by MCA to ensure data protection. 

If required you can attach a PDF copy of the list of shareholders or you can keep the same in your records.
