Dear Members,

Plz Guide me whether DIR-8 is Mandatory attachment to FORM DIR-12 in pursuant to Section 164(2) and Rule 14(1) of Companies(Appointment and Disqualification of directors) Rules, 2014)

Dear Neha,

No, form - DIR 8 is not mandatory to file   but as per good secretarial practice you can file it as an attachment in form - DIR 12.

Only Form - DIR 2 is mandatory to attach at the time of appointment of director as per sec- 152 (5) without which he shall not act as director and also it is mandatory in rule 8  .

Dear Kanika,

M with the same view..bt got confused..I think DIR-8 is internal Document of the Company..as rule Provide Every director Shall inform to the Company..No where it is mentioned that company shall file same with ROC..

Dear Neha,

Yes, If any director is interested in signing Form- DIR 8 , just keep it for future records of the company . No need to file Form - DIR 12 on behalf of company as it is not mandatory as per companies act 2013.
