Company appointed a person as alternate director to a foreign director of the company. Now the foreign director attended the BM physically.

As per my understanding of Section 161, the Indian alternate director must vacate his office.

My query: Is there any workaround for this? As it could become cumbersome to keep vacating and appointing Alternate Director. Any provision for foreign directors?

Thanks

foreign director can attend the board meeting through video conferencing. that is the only remedy. he has to attend at least one board meeting during a year, as otherwise he will be disqualified.

Mohan

The provisions of alternate director applicable to only Indian directors not in India for 3 months and not to foreign directors. Means in case of foreign director you can't appoint alternate director.

In case of any query feel free to revert.
