CAN A PRACTICING PROFESSIONAL ACT AS AN KMP IN ANOTHER COMPANY

Dear All,

I would like to know if we can appoint a Practicing Professional (either CA/CS/CWA) as a KMP in a Company, if he not related to any directors on board of the company and provides only the service that a KMP has to provide??

A Practising Professional is Independent.

If that is Appointed as Internal Auditor for Sec. Audit Purpose then he is no more Independent.

So from my Point of View, it like the Provisions of Internal Auditor = internal Sec. Auditor. So it's No from My Point of View

KMP, as prescribed, means a person who will be in whole time employment of the company and a practicing can not hold same time two positions.

So accordingly he can not be appointed kmp if holding cop.

As per explanation to rule 13 of Companies ( accounting) rules, internal audit can be conducted by a ca in practice or not, may be an employee or not.

However, rules is silent about as author of financials, a CFO can do the internal audit of the same or not??

Sir, as per relevant provisions of internal audit, an employee can be appointed as internal auditor.
