Appointment of additional directors

Respected Members,

I have a query with regards to appointment of additional director.

If an existing additional director fails to get appointed as director in any General meeting , he can not be appointed as additional director for one more term.

Can a share holders of the company has the power to appoint him as a additional director for one more term In a genera meeting.

Expecting fruitful views on this.

shareholders don't have the power to appoint additional director.. it is vested with board only.. shareholders have power to regularise appt of additional directors as director in GM of the company.

I Agree with u, if article does't give power to director to appoint addtional director, then what will be the implication.

you have to alter ur articles by adding an enabling clause..

I have to file FORM DIR 12 for regularisation of Additional Director in AGM held on 30.09.2013. Will ROC accept it or not as its beyond 300 days. Its STP Form. Will this make any difference.

i have seen somewhere in this group that one is able to upload DIR-12 beyond 300 days.. but not MGT-14... you can try to upload the same..
