Be careful while filing AOC-4

Hello,

Recently many companies are receiving resubmission from MCA for rounding off the figures in AOC-4. Hence be careful while filling the same so as to avoid resubmission from them. Attaching the one received by one company on 31/10/2022.

To avoid this the AOC-4 Should be filled in absolute and attachment should be in compliance of SCH III. (Rounding off).

There's no filing fees in resubmission if done within the stipulated time frame as mentioned in their communication.

This is wastage of time of professionals, to provide two balance sheets in absolute and round off figures. 

Why dont they align the form with amendments in law.

If they find that you have rounded off figures, then they will send a remark for resubmission. You have to enter absolute figures only in AOC-4. PFA the extract of the instruction kit & also AOC-4 as well for your reference:

Looks like this how it is happening...

For instance, if a CS is reporting in lakhs, a paid up capital of say 10 lakhs is entered as 10 in AOC4. The system flags a fraud, rejects the form and sends it to the notice of the Registrar, who now has to manually approve the resubmission. Ha Ha stumped by their own rules. The registrars are going to go crazy now.

YES ITS TRUE... yesterday after so many try someone pick a call from helpdesk i ask how small companies AOC -4 gos for approval basis they said there must be reduction of share capital but in our case nothing like that it juts figures are mentioned in 000's the 3 forms are showing pending from approval since that day we are getting additional fees 100 per day... i asked him who is responsible he said you then i replied how come i responsible when its portal problem as we have uploaded the form on time to avoid the fees and now helpedk is not helping and ticket raised but no reply he said talk to ROC? R u serious ?? Does ROC really receive your call if they do do they really help you that kolkata ROC??

who is gonna help us ?? this system literally sucks... 

The future of This profession is in danger.. as ICSI wont help there members nor system work properly ?

We need to seriously find some route to scrap this amendment. This has unnecessarily put us into so much chaos. The auditor is asking us to get it clarified (regarding figures in financials) which I had to politely refuse by requesting them to check it through their circles. Actually the MCA should have introduced some series of webinars or seminars regarding this. This amendment came in March 2021 has become a serious issue this year as we were occupied with so many things which would have lead to skip this. Even the clarification which they posted on the website came very late. I don't know how many small companies would have followed this ?

Now as long as this goes, we need to just keep a simple funda in mind. Let the attachment have figures rounded off in 100's or 1,000's as the case may be & in AOC-4 have actual. If they still bring for any resubmission, then we should go & fight it out with them.

The three professional bodies should take it up strongly against the dictatorial attitude and behaviour of the MCA in ramming through amendments without any thought or demur. Multiple deadlines for all the 3 professionals and with the rampant ROC adjudication orders for even the miniscule violations, some of which are laughable. Frankly where is the ease of doing business. The chambers of commerce and the business should take it up with the govt.

Financials are required to be in rounded off figures though figures are in hundreds is it allowed as an attachment in aoc-4 or figures should be in rounded off?

Yes, the original financial statements should be in rounded off and in form AOC-4, absolute amount.

Is it the expanded amount or the exact amount as in the books of accounts ?

But I have one different view on this. In AOC 4, there is nowhere mentioned figures in '000 or '00, it is clearly mentioned figures (in Rs.) so we need to put the actual figures without rounding off & that is why we asked our Auditors to send the excel file in actual figures too apart from the signed Auditors Report.

How can we put the round off figure in absolute form.

And how the mca can know the absolute fig of balance sheet attached to AOC-4 which is made on round off basis.

We have received a email  from MCA regarding aoc-4 that The figures appearing in the Financial statement are not with the absolute figure in the e-form AOC-4 with respect to MCA Notification G.S.R. 207 E dated 24.03.2021. Hence furnish absolute figure in e-form AOC-4 , Screenshot attached
