SHARE CERTIFICATE IN TRANSFER_PRIVATE COMPANY

 Dear All
  Pls clarify When all the shares held by a member are transferred to another person   then what formalities are to be complied with in a private company

  whether new share certificate in his name with new certficate no.  and ledger folio   no needs to be issued  to the transferee or the original share certificate wil be   handed over to the transferee with his name appearing on the back of share certificate ???

Old share certificates duly endorsed with the name/s of the new names on the reverse of the share certificates is what is required to be done.

the co should keep in its custody the duly stamped and executed share transfer deeds, with necessary serial numbers of share transfer/s, specimen signature of the new shareholder etc.

ok thnks Mohan Sir for quick reply.. means old share certificate with the same certfcate and folio no. will be issued to the transferee with his name written on the back of share certificate.. but sir on the face of the share certificate after the transfer name of the transferor will continue to be there ???

yes please.  if u wish to issue duplicate share certificate - there the procedure is different.

ok thanks Sir but ledger folio no. of the transferee will be the same or a new folio no is to be alloted to him ??? i believe ledger folio will be new for the allottee ?? pls guide..

Place the share transfer deed in a board and get its approval and endorse in the back side of the share certificate with the name of the transferee with his new folio number and date of transfer and obtain signature of the director authorised in this respect by the Board and deliver the share certificate on obtaining of acknowledgement.
