FIRST AUDITOR APPOINTMENT

Dear Members 

A private company was incorporated in April 2023. But the Board of Directors have not appointed the First Auditors in the Company till now.

Is it mandatory to appoint the Auditors now or we can straight away file the Appointment in the year 2024 at the AGM only.

Please guide

First auditor should be appointed within one month of company incorporation.

So now ADT 1 has to be done..

And first auditor will hold office till first AGM only.

It's not mandatory to file ADT-1 in case of appointment of first Auditor, it's okay you can directly file ADT-1 within 15 days from the date of AGM .

But if the Company does not appoint an Auditor within the first 30 Days, then can the company directly appoint an Auditor in the First AGM ? will this amount to Non- Compliance?

Within 30 days from the date of incorporation the first auditor should be appointed but it's optional to file ADT-1 in case of first auditor we can directly file ADT-1 after AGM.

yes agreed  few are filing ADT 1  only  company has to complete the formalities of auditor appointment

Yes First Auditor should be appointed within 30 days of Incorporation by the Board of Directors, however if not done by the Board, Members shall within 90 days at an EGM appoint such First auditor.

If First Auditor is not appointed how will he audit the Accounts of the Company from the Date of Incorporation to closure of first Financial Year ??.  So appointment is mandatory.
