Time limit for filing court order with ROC- INC-28 (earlier form 21)

Dear All,

We have received the final order from High Court in connection with reduction of share capital under Companies Act, 1956.

Now, we have to file e-form INC-28 ( previously form 21) with ROC.

Please clarify within how much time this form need to be filed.

Please provide the source from where time period can be clarified.

Please treat the same on urgent basis.

Dear Devansh,


Sec-66 (5) (d) The company shall deliver a certified copy of the order of the Tribunal under subsection(3) and of a minute approved by the Tribunal to the Registrar within 30 days of the receipt of the copy of the order, who shall register the same and issue a certificate to that effect.

Please confirm is there any provision in the companies act, 1956.

Hope u have got order u/s 100 - 104. So u have to mention the word reduced after the companies name within the bracket. Coonected share certificates to be cancelled.

New Act not mentioned on this.

Others view may be of help to us.

Hi,

I have one issue to be discussed. 

My Client filed INC-28 of CLB order and it was a delay of 5 months. ROC has directed  to go for Condonation of delay with CLB. We filed petition with CLB and simultaneously with ROC through GNL-1. ROC has approved GNL-1 and CLB returned the petition without stating any reason. 

When we called CLB, they said it wont come under its jurisdiction and we approached ROC in this matter. ROC said it is the Jurisdiction of the CLB. Company is aggrieved because of this bottleneck.

Anybody experienced the same situation, if S please let me know what further steps has been taken in this regard.

Please advise if any body has confronted this situation.
