inc-22 resubmission - URGENT

Hi,

I have attached latest Reliance JIO mobile postpaid telephone bill and Notarized NOC from the owner.

Still i got the re-submission asking "

Attach documents in compliance of Rule 25 (2) (b),(c) and (d) of Companies (Incorporation) Rules, 2014"

I have no clue why this re-submission? Are they not considering Reliance JIO postpaid bill as Utility Bill?

Rule 25 Verification of Registered Office

(1) The verification of the registered office shall be filed in Form No.INC.22 along with the fee, and

(2) There shall be attached to said Form, any of the following documents, namely :-

(a) the registered document of the title of the premises of the registered office in the name of the company; or
(b) the notarized copy of lease or rent agreement in the name of the company along with a copy of rent paid receipt not older than one month;
(c) the authorization from the owner or authorized occupant of the premises along with proof of ownership or occupancy authorization, to use the premises by the company as its registered office; and
(d) the proof of evidence of any utility service like telephone, gas, electricity, etc. depicting the address of the premises in the name of the owner or document, as the case may be, which is not older than two months.

Dear Sir,

            

               Utility bills usually refers to your water, electricity and gas bills. 

               Telephone Services are not usually considered a Utility Expense (in terms of Accounting) and are posted to a separate GL account.

But in INC - 22 instruction manual it has mentioned "Copies of the utility bills (proof of evidence of any utility service like telephone, gas ,electricity etc. depicting the address of the premises not older than two months is required to be attached )."

And many other cases of incorporation they have accepted this.

In addition of telephone bill you are required to attach other address proof also like EB card or sale deed agreement etc  ( as per point a)

May be older then two months, please check again, and depended on ROC officer, sometime can arise problems.

Proof of Ownership is required for INC-22 like as Sale deed.

Sale deed is not submitted due to confidentiality of property documents.

They have accepted telephone bill as proof of occupancy many times.

Interpretation for this requirement: This is present address but proof of Ownership ka matlab ki jo property telephone bill me dikh rahi hai wo aayi kha se, who is real owner so very important sale deed as a attachment.

Owners are different  and directors are different persons(tenants)

Owner is getting angry when directors are asking for sale deed of his property to register their company.

In Maharashtra, what we do is if an owned premises of a promoter is used as an address for proof of registered office, we submit an attachment called Index II which proves that property belongs to the concerned person only
