Professional as a Director Cum Promoter

Can a Professional be a Director at time of incorporation of company i.e. Promoter as well as Director?

Dear MOhit,

We have understand that, when a professional promotes a company, he loses his right to be a professional, in relation to that company. A director, who is a "professional Director" in the Form 32, is one who renders his services to the company only as a professional with no other interest in the company, whereas, a "promoter director" is the father of the company. Hence, the difference.

Hi All Members

According to my view also, a person rendering professional services to a company shall be an independent person and cannot work in dual capacities i.e of a professional as well as a director. If it is so allowed then that director will always be an interested director.
