There is a detailed process to change the name of a company.  process are as follows :
1. Hold a Board Meeting for changing the name of company.
2. Apply to roc for approval of new name in form INC 1.
3. After approval of new name, conduct a Board Meeting to approve the notice of egm and fix the date time place to convene the egm.
4. Issue notice to all the members and convene the egm on a fix date and pass the special resolution.
5. File resolution to roc in form MGT 14.
6. File form Inc 24 to roc.
7. After approval of these forms,  roc will issue the fresh certificate of incorporation.

Yes...ultimately the name of the company is changing... So you will have to file.

Firstly You need to File INC-1 for checking the name availability to roc After get approval from ROC, Hold EGM, Pass SR and file INC -24 (Minutes of EGM is mandatory as an attachment).
