Can a Company Secretary be appointed as an alternate director in a Pvt. Ltd. Company?

Hi Friends,
 
Pls. guide me on this. Can a Comany Secretary in whole time employment be appointed as an alrernate director of the same company?

You should go through provisions of section 383A of the Act, wherein we have seen that a company secretary can be appointed as the director of the company. But the main thing is that there should be atleast two other directors means in case of three directors only company secretary can be appointed as one of the director. In case of Two none can be appoited as the director. Means two Director plus one secretary, not the case one director and one secretary

there is no single instance [to the best of knowledge in vetting 60years of records]of a c.s.[employee C.S.]being appointed as an Alternate Director [for obvious reasons of practicability -incl.'conflict of interest'-factor].
any other reasons?

kindly explain, why not company secretary in whole time practice can be appointed as a additional director of the company? further kindly explain the practicalities ?

There are listed companies where Company Secretary is also a Board Member. Many years back, I took my management training in one of such companies only.
 
There is no bar in law and I feel that we need not assume conflict of interests, unless circumstances suggest otherwise.

Dear All,

A company secretary in whole time practice can be appointed as a additional director of the company. please read the Company Secretaries Act,1980 it clearly says that nothing disentitle a CS from being a director of a company except as provided in the Companies Act,1956.
