appointment of sole selling agent under company act, 2013

Dear Members,

As per section 294 of company act, 1956, there are many compliance related to the appointment of sole selling agent.

but there is no section for the appointment of sole selling agent in new act.

98 sections are applicable since 12/09/2013.....act 2013 is not completely applicable on current date.


Should i follow the old section or new act.....please guide....

Dear Gaurav,

There is no section in Co's Act 2013 as compare to Sec.294, 294A and 294AA of the Co's Act 1956.

However in case of said appointment, you have to comply with the norms set under Sec. 188 of the new Act i.e. related party transactions.

Apart from this there is no any compliance required anymore under the new Act.

Dear Gaurav,

 

Only 98 Sections of the New Companies Act, 2013 has been brought into force.

Further, Section 188 is not yet brought into force.

 

Therefore, Section 294,297,299 etc would be replaced by Section 188 only once notified.

 

Hence, as on date, you need to comply with Section 294 of the Companies Act, 1956 and other applicable provisions of Companies Act, 1956 and 2013 (check sections which may have an impact on compliance out of the 98 Sections notified, like Section 102)

Section 188 of the new Companies Act, 2013 is not yet notified and since the entire old act of 1956 is not repealed as yet, section 294, 294A,294AA, 297,299 etc are still in force.

 

If section 188 would have been in force,

Yes, left to mention that, what i said was for informative purposes and you still have to follow the old Act of 1956, untill the new one is notified.
