What documents are required for phillipian resident for becoming a director and shareholder in an Indian Company as per the Companies Act 2013.

  A foreign national (resident of the Philippines) can be appointed as a Director in an Indian company in accordance with Section 149, 152 and 153 of the Companies Act, 2013, subject to the following documentation and compliance requirements:

1. Mandatory Documents:

S. No.	Particulars	Requirement/Remarks
1	Passport	A valid passport (mandatory identity proof). The passport must be notarized and apostilled by the competent authority in the Philippines.
2	Address Proof	Any one of the following: Utility bill, Bank statement, Driving licence, or Government-issued identity card. Must be not older than 2 months, and notarized & apostilled.
3	Photograph	Recent passport-size colour photograph.
4	Email ID and Mobile Number	For communication and DSC registration purposes.
5	Digital Signature Certificate (DSC)	Required to file incorporation/appointment forms with MCA. DSC can be obtained in India using the above apostilled documents.
6	Director Identification Number (DIN)	Application to be made in Form DIR-3 along with above documents or through SPICe+ Form during incorporation.

Note:

• If the proposed director does not reside in India, there is no minimum residency requirement except for the mandatory one Resident Director in the company under Section 149(3).

• However, it is advisable to execute a consent to act as Director (Form DIR-2) and declaration (Form DIR-8) for disqualification compliance.
