Normally in all memorandum, the company usually mention take over clause, i think general clause which is sufficient to take over the assets of the company or firm. No need to specify the assets and liabilities of the company or firm. This is because, the company should have inherent power to take over the business of the company or firm which is going to be taken over.

you have required to  give only main object clause in the form 1A not the takeover clause. When you file incorporation document with copy of MOA and AOA that time in the MOA, 1 clause should be the takeover clause with details of all  prop. business viz-name of prop., name of proprietor, if u want to taken all assets & liabilities then mention it.

Dear CS Chennai,
 
kindly clarify me on these issues:
 
1) A Private Ltd is planned to be formed. After its formation it would takeover all the assets & liabilities of 3 soleproprietorship businesses( same business- printing).
 
While applying for the name approval can we specify in the main object of the company as
 
" to takeover the business of the concerned soleproprietorship business(i.e.,name of the sole prop. business)"
 
or
 
should we specify the main object of the concerned business - printing business?
 
As they do not go for conversion under section Part IX os Cos, act, will the there be any problem if we specify in the main objects of the co. as to takeover the business?
 
2) The promoters have planned to continue the business of sole prop. under the same name but under the roof of the New company to be formed. Can such businesses(sole prop.) in their old name be shown as being carried on by the company even after the co. takes over the assets and liabilities of the company.
