The Ministry of Corporate Affairs (MCA) has introduced the Companies Compliance Facilitation Scheme, 2026 (CCFS-2026), to provide a one-time opportunity for companies to complete pending annual filings at reduced additional fees.
Scheme Period:
15 April 2026 to 15 July 2026
To reduce the financial burden on companies (especially MSMEs, OPCs, private companies, etc.) that failed to file:
Annual Returns
Financial Statements
To improve overall compliance levels.
To allow inactive companies to:
Become dormant, or
Apply for strike-off at reduced fees.
Companies can file overdue documents by paying:
Normal filing fee
Only 10% of the additional fees (instead of ₹100 per day without limit)
Companies can apply via Form MSC-1 and pay:
50% of normal filing fees
This allows inactive companies to remain registered with minimal compliance.
Companies can file Form STK-2 and pay:
Only 25% of the applicable filing fees
Includes key e-forms such as:
MGT-7 / MGT-7A (Annual Return)
AOC-4 series (Financial Statements)
ADT-1
FC-3, FC-4
Certain forms under Companies Act, 1956
The scheme does NOT apply to:
Companies already under final strike-off notice (Section 248)
Companies that already applied for strike-off
Companies already applied for dormant status
Amalgamated/dissolved companies
Vanishing companies
If filings are completed before notice or within 30 days of notice, no penalty will apply.
If an adjudication order has already passed, penalties remain payable (fees relief only applies).
After 15 July 2026, the Registrar of Companies will take action against companies that fail to comply.
