Hi All,

Could somebody kindly explain what is the difference between a Share Holders Agreement (SHA) and a Share Purchase Agreement (SPA) purely in terms of the details that will be captured in each such agreement and also its legal difference.

This is to understand such documents prepared in my Company earlier.

SSA - For the purpose of recording the terms and conditions of the Investment by the Investor in the Company.

SHA - For the purpose of recording the terms and conditions regulating the relationship of the Investor and Promoters as Shareholders of the Company, their inter-se rights and obligations as well as with the Company and for certain matters relating to the Transfer of Shares and the Management and Operations of the Company.
