Dear Members,

Good Morning,

my querry is can a Company Secretary in full time employment whose
form 32 has also been filed, be a partner in LLP. if not the active
then can a sleeping partner.

Kindly Clarify.

Hello,
yes, a company secretary in full time employment be appointed as partner in LLP in my opinion...
I think it is not restricted anywhere in the Act, as  you know that a cs is also appointed as director in the company then why not so in case of LLP....

Hello,

There is no bar for a company secretary being a sleeping partner in a LLP. However , if the terms of the appointment of company secretary states that he should not engage in some other jobs or business , then it may contradict such terms .

If there is no objection from present employer , I see no trouble in being a sleeping partner in a LLP .

I suppose the word full time employment means, not engaged in any other activity. Therefore a CS in employment cant be a Partner in LLP, however a PCS may be.

Dear All.

Thanks for your suggestions..but dont we have any proof or something
like any clarification from institute in respect to our opinions as
it may arise problem in future if a CS become the partner in LLP.

Hi All,

If we go as per attachment of Sowmya then a pcs can be a partner in
LLP and indirectly institute says that CS in employment can't.

Kindly let me know if i am interpreting in wrong way.
