Dear Friends,

What are the documents and fillings required if any Indian company is issuing shares to foreign shareholder.

Hi,

for allotment of shares to foreign shareholders you are required to file the following with RBI.(I believe that FIRC has been filed with RBI through Authorised dealer  when the remittances was received):-

1. Form FC GPR (Attached for your reference)

2.  A certificate from Company Secretary/Practising Company secretary(as the case may be

3.  A certificate from Statutory Auditors / SEBI registered Category I Merchant Banker / Chartered Accountant indicating the manner of arriving at the price of the shares issued to the persons resident outside India.

hello following documents are required for issuing shares to foreign share holder:

1.Proof of remittance. the remittance should be in Foreign currency.

2. FIRC from Banker

3. certificate from PCS

4. Share Valuation from CA.

5. File form FCGPR with all above mentioned.

you should file form with RBI within 30days from the date of allotment.
