Meaning of - "Flagged Company" in availability of name

Dear All,

ABC Ltd. had filed Form 1A for availability of change for the purpose of change its name.

Now ROC has put the form for re-submission stating that 

1. Balance sheet and Annual return has not been filed, and

2. Mr. A and Mr. B are the directors of XYZ Finance Limited which is FLAGGED. 

Now what is the meaning of FLAGGED COMPANY as per Companies or incidental Act.

Please clarify and provide best solution if anyone knows.

i have filed form 61 . the directors are not defaulting company . but roc sent resubmission as alert flagged. I sent mail to roc regarding to find out the meaning of flagged . but no reply has come so far. If any one knows the meaning of FLAGGED, plz send sir.

RoC has power to identify & high light a company for which no action will be taken and no form shall be approved by any official of RoC office till the direction of RoC to act upon is obtained. Such flagging is done either on the complaint received from a stakeholder or serious defaults on the part of Company identified suo moto.

Dear Ainesh, I also have got the same query regarding annual filling in case of change of name, but it can be sorted by meeting with ROC official looking it. Rest Flagged means there is some legal action or any queries has been raised against that other company in which they are directors. So contact at Roc and then process further in this regard.
