Dear all,

X Private Limited Company is a wholly owned subsidiary company of Y Private Limited and filed form MGT-6 for said purpose, whether it is also required to file form BEN-2.
what is the difference between Form MGT-6 and BEN-2.

Please suggest.

MGT-6 is filed under section 89 by the company within 30 days of receipt of declaration about the beneficial interest of shares. BEN-2 is filed under section 90 for filing a  return of Significant Beneficial Ownership within 30 days of receipt of declaration.

whether both are required to be filed for same holding.

Yes. Both forms are required to be filed if the holding is significant beneficial holding.

The holding company need not file any forms relating to their Wholly owned subsidiary company. BEN forms are not required.

Further pl take note in Sec 90, the purpose is to identify the "INDIVIDUAL". In case there is no such "INDIVIDUAL" who is controlling or having significant influence over the entity than disco. under  section 90 is not applicable.
