Can a KMP be appointed with retrospective effect i.e date of appointment is 20.08.2014 and board meeting is 01.09.2014.

If I have joined the Company as Company Secretary (KMP) on 20.08.2014 and the Board took note and resolved my appointment in its meeting held on 01.09.2014 then Board may resolved that Mr.____ has been appointed as CS w.e.f date of joining.

how can one join a Company without being appointed through a resolution. Whether the Act be legally valid..I mean if any wrong act or deed done either by the person so appointed or by the Company during  the period of retrospective effect.....

Wether we are complying the law in true letter and spirit if someone is appointed from backdate. what is the use of intimating within 30 days of appointment.
