[CSMysore] Board Resolution Required

Dear All,

 

Our Company is basically in development of I.T Parks and other related services, now my company intends to start a business unit in a I.T Park to serve th epantry services and other related services to the lease holders. So any body,  Pls provide me a Draft Board resolution of such establishment of business unit in a different name. And also my company requires to register such business unit with sales tax and service tax authority, so this clause should be also there in the resolution.

i am a A.C.S. final student, i sent this resolution for your query, i think it is usefull for you otherwise take it easy

 

“RESOLVED THAT pursuant to applicable provisions, if any of the Companies Act, 1956, and subject to such other consents, as may be necessary in law, sanction be and the same is hereby accorded to the Board of Directors of the Company for making investment by the Company with the intention to start a business unit in a I.T Park for serve the epantry services and other related services to the lease holders, ………………………….in (place), our new business unit is promoted with the civil objects, like to do the epantry services to the lease holders. The Board of Directors of the Company be and is hereby authorized to determine the actual sum, subject as aforesaid, to be so invested and any matters arising out of and incidental to the said investment.”

 

“FURTHER RESOLVED THAT for the purpose of giving effect to the above resolution the Board be and is hereby authorized to do all such things and acts as may be necessary and expedient and to settle any matter that may arise in connection therewith”

 

“FURTHER RESOLVED THAT the company take necessary steps to apply for registration of such business unit with sales tax and service tax authorities and complete the necessary formalities for registration.”  

 

“FURTHER RESOLVED THAT the chairman explained that the necessity of such registration and the Board took note of the same and unanimously approved and resolved to proceed with the formalities of obtaining the registration for the Company.”

 

“FURTHER RESOLVED THAT Mr.……………………….,Managing Director and Mr.………………………., Director, of the company be and are hereby authorized to sign all the necessary applications, statutory returns, company documents and correspondence to be submitted before the various GOVT. and other authorities to comply with the terms for obtaining the sales tax and service tax Registration/ License and to sign all the related documents including the application for registration of such business unit with sales tax and service tax authorities on behalf of the company.”

Dear all,

 

I have a query regarding the opening of Business Unit, its basically fo rproviding pantry services, arranging the meetings of the clients, providing refreshments etc, now my question is (1) whether both sales tax as well as service tx will be applicable, or one of them only? (2) Whether it should be there specifically in main objects clause?
