Difference between executive director and whole time director- urgent

Dear Members

Please suggest

if a director working with a company as an executive director that means he is working as an employee of the company and if he is working as an employee of the company and also a director is it means that he is WTD and we have to comply all the requirements of section 198, 268, 269, 309 and schedule XIII wheather the paid up capital of company is less than 5 crores?

Yes, even return in form 25C is mandatory required to be file with ROC. So that any litigation in future can be avoided. Otherwise the designation of the concern person shall be requried to be changed from Director to Director (Marketing) etc. Means expelled from the board and enter in the head of the department whether designated as a director but should be functional head only.
